Director's Appointment/Resignation

Form DIR-12 is a statutory e-form required to be filed with the Registrar of Companies (ROC) for reporting the appointment, resignation, cessation, change in designation, or other changes relating to Directors and Key Managerial Personnel (KMP) of a company.

The filing is governed by Sections 7(1)(c), 149, 152, 161, 168, 170 and 203 of the Companies Act, 2013, read with the Companies (Appointment and Qualification of Directors) Rules, 2014 and the Companies (Registration Offices and Fees) Rules, 2014.

Form DIR-12 is required for appointment of Additional Directors, Directors, Managing Directors, Whole-Time Directors, Independent Directors, Nominee Directors, Alternate Directors, Key Managerial Personnel, as well as for resignation, removal, cessation, death, retirement or change in designation. The form is generally required to be filed within 30 days of the relevant Board Resolution, Shareholders' Resolution or occurrence of the event, as applicable. Delay in filing attracts additional filing fees under Section 403 of the Companies Act, 2013 and may lead to penalties for non-compliance.
