Form 8 + Form 11 Filing

Every Limited Liability Partnership (LLP) registered under the Limited Liability Partnership Act, 2008 is required to file two mandatory annual forms with the Registrar of LLPs irrespective of turnover, profit, or business activity. Form 11 (Annual Return) is required under Section 35 of the LLP Act, 2008 read with Rule 25 of the Limited Liability Partnership Rules, 2009 and contains details of partners, designated partners, contribution, and other statutory information. Form 8 (Statement of Account & Solvency) is required under Section 34(2) of the LLP Act, 2008 read with Rule 24 of the LLP Rules, 2009, and contains the Statement of Account, Solvency Declaration, and financial information of the LLP. Form 11 is generally required to be filed on or before 30th May, while Form 8 is required to be filed on or before 30th October every financial year, unless the due dates are extended by the Ministry of Corporate Affairs (MCA). Non-filing attracts additional fees under Section 69 of the LLP Act, 2008, along with penalties and continued non-compliance.
